Board composition and corporate performance: An empirical study on China's listed companies

摘要
Board of directors plays a pivotal role in reducing conflicts between management and stockholders due to the separation of ownership and control. In this article, we study the board composition of China's listed companies and find that the percentage of outside directors has a significant positive relationship with the corporate performance. And we also find there is no significant relationship between board size, managerial ownership and corporate performance. In the end we point out that different companies under different institutional convex of corporate governance may have different effective board.
