The UNIDROIT Principles as a basis for alternative choice-of-law clauses, with particular reference to the ICC model contracts

When agreeing on the applicable law parties which are negotiating an international contract are often looking for a neutral solution which can be agreeable to both of them. One traditional solution is the choice of the law of a third country. Another alternative, which can be used, consists in submitting the contract to non-state rules such as the UNIDROIT Principles. The author describes this solution, with particular reference to the model contracts of the International Chamber of Commerce (ICC) which have adopted this approach.
