摘要：
This paper analyzes the informational asymmetry and each period's investment risks that exist in the operation of venture investment. From the point of game theory, it also proves that investors and venture capitalists can achieve the target of cooperation and win-win through a certain incentive mechanism and restriction mechanism in contract that is promissory to both sides. In the end, the paper presents some main problems that should be solved in our China's venture capital market.
