The Theory Understanding and Practice Reflection of Independent Director

In this paper, using the case study method we focusing on China realistic background of China's capital market, around the theme of the governance of listed company, study the typical case, the case selection scope is the system of independent directors in corporate governance system, the purpose of the study is to investigate the present situation of independent director system, finding the sticking point of Chinese company management system and improve the enlightenment. Research shows that, the independent directors are not the elixir of solving agency problem, first the independent directors is part of the agency, then a kind of system arrangement of solving the agency problems.
