摘要
In the financial market, the corporate governance of intermediaries plays a key role: the good governance of intermediaries protects investors both as company partners and creditors. In Italy, the organisational setup of financial intermediaries and banks is changing because of the company law reform (Legislative Decree 6/2003, which reformed the Civil Code). The innovations introduced in the common company law must be coordinated with the peculiarities of banks and financial intermediaries which are special stock companies. Their internal structure must be set in order to assure both the protection of entrepreneurial liberty and the general goals of financial supervision.
